Правила и условия предоставления услуг хостинга


Договор публичной оферты


Фирма "Eurostream Ltd.", именуемая в дальнейшем ИСПОЛНИТЕЛЬ, с одной стороны, и физическое лицо, далее ЗАКАЗЧИК, с другой, заключили данный Договор о следующем:

1. ПРЕДМЕТ ДОГОВОРА

На основании настоящего Договора, ЗАКАЗЧИК поручает, а ИСПОЛНИТЕЛЬ берет на себя обязательства по размещению веб-проекта ЗАКАЗЧИКА в сети Интернет по базовому тарифному хостинг-плану, выбранным ЗАКАЗЧИКОМ, согласно перечня ресурсов и услуг виртуального хостинга или виртуального выделенного сервера, публикуемых на сервере ИСПОЛНИТЕЛЯ в разделе Тарифы.

2. ОБЩИЕ ПОЛОЖЕНИЯ

2.1 Данный Договор носит характер публичной оферты и является эквивалентом "устного договора" и, в соответствии с действующим законодательством ЛР, имеет соответствующую юридическую силу.

В соответствии с Гражданским кодексом Литовской Республики, безусловным принятием данной публичной оферты (Договора) считается осуществление ЗАКАЗЧИКОМ платежа в счет оплаты услуг ИСПОЛНИТЕЛЯ и получение ИСПОЛНИТЕЛЕМ соответствующего финансового документа, подтверждающего факт оплаты.

2.2 ЗАКАЗЧИК создает в Панели Управления персональную карточку (аккаунт) согласно выбранного тарифного хостинг-плана.

2.3 ИСПОЛНИТЕЛЬ активизирует созданный ЗАКАЗЧИКОМ аккаунт после внесения ЗАКАЗЧИКОМ авансового платежа согласно сформированной заявки сразу после осуществления вышеуказанной оплаты или согласно даты, указанной ЗАКАЗЧИКОМ в письме электронной почты по адресу support@eurostream.eu, после осуществления вышеуказанной оплаты.

2.4 Предоставление услуг ИСПОЛНИТЕЛЕМ ЗАКАЗЧИКУ начинается сразу после активизации персональной карточки (см. п. 2.3) и продолжается до конца расчетного периода, указанного ЗАКАЗЧИКОМ при создании аккаунта. Предоставление услуг продлевается на следующий расчетный период при условии положительного остатка на личном счету ЗАКАЗЧИКА, если Договор не был расторгнут по инициативе одной из сторон.

2.5 ИСПОЛНИТЕЛЬ может предоставлять ЗАКАЗЧИКУ по этому соглашению и другие сопутствующие хостингу услуги, такие как регистрация доменных имен, разработка электронно-информационного ресурса и так далее. Стоимость таких услуг оговаривается отдельно.

2.6 Осуществляя заказ на нашем сайте, ЗАКАЗЧИК тем самым подверждает, что дает согласие на предоставление и получение своих персональных данных посредством программного инструмента и других средств, используемых «Eurostream» UAB или назначенным «Eurostream» UAB уполномоченным представителем, а также других третьих лиц, с которыми «Eurostream» UAB вступила в договор на обработку персональных данных согласно требованиям законодательных и других правовых актов (приложение 4 к настоящему договору).

3. Права и обязанности заказчика

3.1 ЗАКАЗЧИК обязуется:

  • в случае заказа сервера VPS/VDS с операционной системой Windows, установить MS License Agent, контролирующий лицензии на установленное ПО от Microsoft, в течение 24 часов с момента получения доступа к серверу, а также устанавливать дополнительное ПО от Microsoft, лицензия на которое была приобретена только у Eurostream (см. §8 параграф 7 General Terms and Conditions VDS/VPS) ;
  • следить за датой окончания биллингового периода и своевременно производить оплату услуг хостинга и сопутствующих ему, в порядке и в сроки, предусмотренные настоящим Договором;
  • придерживаться общепринятых и общедоступных Норм пользования сетью Интернет;
  • использовать сеть Интернет только легальным образом и не перекладывать на ИСПОЛНИТЕЛЯ ответственность за убытки какого-либо рода, которые несет ЗАКАЗЧИК или третья сторона в процессе использования ЗАКАЗЧИКОМ услуг ИСПОЛНИТЕЛЯ;
  • не причинять ущерб программной оболочке, техническим и программным средствам, узловым машинам ИСПОЛНИТЕЛЯ и третьих лиц.
  • сообщать ИСПОЛНИТЕЛЮ об изменение реквизитов, указанных при заведении аккаунта;
  • сохранять конфиденциальность своих регистрационных данных;
  • выполнять в полном объеме другие обязательства, предусмотренные настоящим Договором.
  • предоставлять только корректные регистрационные данные, в том числе и при регистрации доменных имен (Whois Record).

3.2 ЗАКАЗЧИК имеет право:

  • требовать от ИСПОЛНИТЕЛЯ предоставления услуг в соответствии с настоящим Договором;
  • изменять перечень ресурсов и услуг в рамках выбранного базового хостинг-плана, публикуемых на сервере ИСПОЛНИТЕЛЯ. ИСПОЛНИТЕЛЬ вносит изменения в перечень ресурсов аккаунта и услуг после получения заявки от ЗАКАЗЧИКА, которая может быть отправлена обычной почтой, электронной почтой или факсом и осуществления оплаты за дополнительный набор услуг.
  • изменить базовый хостинг-план на другой. Изменение тарифного плана происходит согласно заявке ЗАКАЗЧИКА, которая может быть отправлена обычной почтой, электронной почтой или факсом, после осуществления соответствующей оплаты. Все средства, которые не были использованы на момент изменения тарифного плана, будут перенесены на оплату нового хостинг-плана. Так же возможен автоматический переход на другой тарифный план.

4. Права и обязанности исполнителя

4.1 ИСПОЛНИТЕЛЬ обязуется:

  • предоставлять ЗАКАЗЧИКУ услуги хостинга в соответствии с выбранным ЗАКАЗЧИКОМ тарифным планом;
  • предоставлять консультации по электронной почте относительно вопросов предоставления хостинг-услуг (и сопутствующих ему услуг) и настройки программного обеспечения, которое предоставляется ЗАКАЗЧИКУ ИСПОЛНИТЕЛЕМ и описано на сайте www.eurostream.eu;
  • сохранять конфиденциальность всех данных ЗАКАЗЧИКА, к которым имеет доступ. ИСПОЛНИТЕЛЬ имеет доступ к информации ЗАКАЗЧИКА в целях технического обеспечения услуг хостинга, а также имеет право на доступ к такой информации в случае получения претензий от третьих лиц, которые касаются противозаконных и/или тех, которые могут причинить ущерб, действий ЗАКАЗЧИКА;
  • сообщать в панели биллинга в разделе "Объявления" обо все технических и профилактических работах, а также об изменениях в конфигурации программного и аппаратного обеспечения, про изменение способов доступа к сервисам и ресурсам, и так далее. Если производимые действия требуют соответствующих изменений в веб-ресурсах ЗАКАЗЧИКА, ИСПОЛНИТЕЛЬ обязуется высылать соответствующие инструкции относительно изменений на адрес электронной почты, указанный ЗАКАЗЧИКОМ во время создания аккаунта. ИСПОЛНИТЕЛЬ не несет ответственности за пребывание веб-ресурса ЗАКАЗЧИКА в нерабочем состоянии в том случае, когда ЗАКАЗЧИК не выполнил рекомендованные инструкции, в том числе и из-за того, что ЗАКАЗЧИК не вычитывает почту с указанного им электронного адреса или не имеет к нему доступа не по вине ИСПОЛНИТЕЛЯ.

4.2 ИСПОЛНИТЕЛЬ имеет право:

  • пересматривать и, при необходимости, вносить изменения в условия настоящего Договора, а также в Прейскурант и перечень услуг. ИСПОЛНИТЕЛЬ обязуется извещать ЗАКАЗЧИКА о вносимых изменениях за 7 суток до их введения на сайте по адресу www.eurostream.eu, также ИСПОЛНИТЕЛЬ может извещать ЗАКАЗЧИКА по электронной почте.
  • вносить изменения в конфигурацию серверов и программного обеспечения, установленного на них, с целью повышения уровня безопасности и соответствующего функционирования. В том случае, когда ЗАКАЗЧИК не соглашается с введенными изменениями, обе стороны приходят к договоренности путем индивидуальных изменений свойств аккаунта. В противном случае, стороны имеют право расторгнуть действие Договора;
  • приостанавливать предоставление услуг хостинга в связи с проведением необходимых плановых ремонтно-профилактических работ;
  • запретить использование скриптов пользователя, которые могут вызвать перегрузку системы и/или причинить какой-либо ущерб работе серверного программного обеспечения, включая, но не ограничиваясь использованием скриптов, которые открывают порты сервера для удаленного подключения, а также использование "daemon" (резидентных) скриптов.
  • расторгнуть Договор на предоставление хостинг-услуг в безусловном порядке с одновременной отправкой электронного сообщения, в случаях, когда действия и/или бездействия ЗАКАЗЧИКА создают проблемы в функционировании технических средств ИСПОЛНИТЕЛЯ, создают проблемы клиентам ИСПОЛНИТЕЛЯ или учетные данные, в том числе и whois record, указаны заведомо ложные . Моментом приостановки предоставления услуг и расторжения Договора считается дата направления соответствующего извещения ЗАКАЗЧИКУ.

4.3 ИСПОЛНИТЕЛЬ оставляет за собой право немедленно приостановить предоставление хостинг-услуг или расторгнуть Договор в безусловном порядке в случаях размещения в веб-проекте ЗАКАЗЧИКА:

  • информации, которая унижает честь и достоинство других людей;
  • информации эротического и порнографического характера;
  • информации, которая противоречит действующему законодательству ЛР и международным законам;
  • размещение любых материалов порнографического содержания;
  • по решению уполномоченной государственной организации, согласно законодательству ЛР.

4.4 ИСПОЛНИТЕЛЬ оставляет за собой право немедленно приостановить предоставление хостинг-услуг или расторгнуть Договор в безусловном порядке при установлении следующих фактов (включая, но не ограничиваясь):

  • массовых рассылок ЗАКАЗЧИКОМ рекламных спам-писем через какие-либо средства сети Интернет (под спамом подразумевается какая-либо массовая рассылка рекламных объявлений в каком-либо виде с помощью каких-либо технологий);
  • проведения массовых рекламных действий на ресурсах других лиц без их на то согласия;
  • какой-либо поддержки спама, хакинга, крекинга, накрутки поисковых систем (в т.ч. размещение дорвеев) и других незаконных действий в сети Интернет;
  • нарушения общепринятых норм пользования сетью Интернет;
  • открытие сервисов IRC, NNTP, TOR, majordomo, публичных игровых серверов или потоковых сервисов;
  • при нарушении ЗАКАЗЧИКОМ хотя бы одного пункта настоящего Договора и/или Норм пользования сетью Интернет.

4.5 В случае, когда ЗАКАЗЧИК после получения извещения от ИСПОЛНИТЕЛЯ про приостановку предоставления услуг, не свяжется с ИСПОЛНИТЕЛЕМ и не ликвидирует нарушение, которое привело к приостановке предоставления хостинг-услуг, Договор автоматически расторгается ИСПОЛНИТЕЛЕМ в одностороннем порядке через 5 дней с момента отправки ИСПОЛНИТЕЛЕМ извещения по электронной почте.

5. Порядок оплаты

5.1 Оплата ЗАКАЗЧИКОМ по Договору осуществляется согласно перечню ресурсов и заказанных услуг, указанных в персональном аккаунте ЗАКАЗЧИКА и установленных ИСПОЛНИТЕЛЕМ текущих расценок на ресурсы и услуги.

5.2 До начала предоставления услуг ЗАКАЗЧИК оплачивает ИСПОЛНИТЕЛЮ:

  • авансовый платеж, который включает оплату выбранного биллингового периода (не менее 1 месяца), указанный в перечне ресурсов и услуг, публикуемом на сервере ИСПОЛНИТЕЛЯ в разделе Услуги, в соответствующем подразделе;
  • все одноразовые платежи, если они необходимы для активизации заказанного хостинг-плана.

5.3 Заказчик обязуется поддерживать положительный баланс личного счёта. При приближении к нулевому балансу ИСПОЛНИТЕЛЬ по электронной почте может оповещать ЗАКАЗЧИКА про необходимость пополнения счёта. Информацию про состояние счёта ЗАКАЗЧИК может также получить самостоятельно при помощи панели управления ресурсами в режиме online.

5.4 ИСПОЛНИТЕЛЬ приостанавливает предоставление услуг в случае нулевого/отрицательного баланса личного счёта ЗАКАЗЧИКА до момента пополнения ЗАКАЗЧИКОМ своего личного счёта. Договор считается расторгнутым при непополнении баланса ЗАКАЗЧИКОМ в течение 15 дней - для услуги виртуальный хостинг, в течение 3-х дней - для всех остальных услуг.

5.5 Оплата ЗАКАЗЧИКОМ услуг согласно настоящему Договору осуществляется авансовыми платежами.

6. Ответственность сторон

6.1 ИСПОЛНИТЕЛЬ не предоставляет услуг по подключению ЗАКАЗЧИКА к сети Интернет и не несёт никакой ответственности за некачественное предоставление этих услуг Интернет-провайдером ЗАКАЗЧИКА.

6.2 ИСПОЛНИТЕЛЬ не несёт ответственности перед ЗАКАЗЧИКОМ или третьей стороной за любые задержки, прерывания доступа к ресурсу, убытки или потери, которые происходят:

  • из-за неисправности оборудования, которое не принадлежит ИСПОЛНИТЕЛЮ, но является составной частью сети;
  • через недостаточное качество работы линий связи, предоставленных другими учреждениями;
  • в следствие обстоятельств непреодолимой силы в общепринятом понимании.

6.3 ИСПОЛНИТЕЛЬ не несёт ответственности за информационное содержимое веб-проекта ЗАКАЗЧИКА.

6.4 ИСПОЛНИТЕЛЬ не несет ответственности за ущерб, причиненный ЗАКАЗЧИКУ и/или третьему лицу из-за разглашения и/или потери ЗАКАЗЧИКОМ своих регистрационных данных.

6.5 ЗАКАЗЧИК несет ответственность за какую-либо неправомерную деятельность и/или бездействие ЗАКАЗЧИКА или третьих лиц, использующих его регистрационные данные, причинивших ущерб какого-либо рода ИСПОЛНИТЕЛЮ.

6.6 ИСПОЛНИТЕЛЬ не несет ответственности за какие-либо убытки (включая неполученную прибыль), понесенные ЗАКАЗЧИКОМ при использовании или не использовании ресурсов и услуг ИСПОЛНИТЕЛЯ.

6.7 ИСПОЛНИТЕЛЬ не обязан предоставлять консультации по общему программному обеспечению, информацию по которому можно получить в соответствующих пособиях пользователя для такого программного обеспечения.

6.8 ЗАКАЗЧИК отвечает за самостоятельную регулярную проверку изменений условий настоящего Договора на официальном сайте ИСПОЛНИТЕЛЯ www.eurostream.eu

7. Урегулирование споров

7.1 Стороны будут регулировать путем переговоров любые спорные вопросы, расхождения или претензии, которые могут возникнуть относительно настоящего Договора или в связи с его выполнением.

7.2 Все спорные вопросы рассматриваются при наличии письменного заявления, переданного по почте или по факсу.

7.3 В случае, если стороны не смогут достичь согласия по спорным вопросом путем переговоров, эти вопросы подлежат рассмотрению согласно действующему законодательству ЛР.

8. Срок действия договора

8.1 Договор подписывается сроком на один год и автоматически продлевается на следующий год, при условии авансовой оплаты ЗАКАЗЧИКОМ услуг согласно п.5 и отсутствия взаимных претензий.

8.2 Договор вступает в силу с даты получения ИСПОЛНИТЕЛЕМ соответствующего финансового документа про осуществление ЗАКАЗЧИКОМ оплаты услуг ИСПОЛНИТЕЛЯ согласно п.5 Договора и действует до момента выполнения сторонами своих обязательств по нему. Дата начала предоставления услуг зависит от даты активизации персональной карточки ЗАКАЗЧИКА и может отличаться от даты заключения Договора.

8.3 С момента заключения Договора все предыдущие устные и письменные договоренности Сторон, касающиеся предмета Договора, теряют силу.

8.4 Договор считается расторгнутым в случае предоставления инициатором расторжения заявления об этом другой Стороне. Заявление может быть прислано почтой на адрес другой Стороны, указанный в п.9, или по факсу. При этом Сторона-инициатор расторжения Договора должна не позже чем за 5 дней сообщить о своем намерение другой Стороне. ЗАКАЗЧИК имеет право на расторжение Договора в одностороннем порядке только в случаях отсутствия задолженности перед ИСПОЛНИТЕЛЕМ.

8.5 Договор считается расторгнутым ИСПОЛНИТЕЛЕМ в одностороннем порядке без предупреждения:

  • если баланс личного счета ЗАКАЗЧИКА остается нулевым в течение 15 дней для услуги виртуальный хостинг, 3-х дней - для других услуг, и если не было других договоренностей между ЗАКАЗЧИКОМ и ИСПОЛНИТЕЛЕМ (гарантийные письма, сообщения по электронной почте и другое)
  • в случаях, предусмотренных настоящим Договором, а также в силу причин, находящихся вне зоны контроля ИСПОЛНИТЕЛЯ, при условии обязательного направления электронного сообщения ЗАКАЗЧИКУ.

8.6 При разрыве Договора по инициативе ЗАКАЗЧИКА, а также в случаях, предусмотренных п.4.3. настоящего Договора публичной оферты, неиспользованная часть аванса ЗАКАЗЧИКУ не возвращается. Последняя активная услуга не может быть удалена по инициативе ЗАКАЗЧИКА.

8.7 Договор остаётся в силе в случае изменения реквизитов сторон, изменения их уставных документов, включая, но не ограничиваясь изменением владельца, организационно-правовой формы, и т.п.

9. Приложения к договору

  • Все приложения к настоящему договору являются его неотъемлемой частью.
  • Заказчик обязуется выполнять все требования и принимает все условия, оговоренные в приложениях к настоящему договору, независимо от языка, на котором приложения изложены.

Host Eurostream Ltd. shall render for the brand EUROSTREAM all services exclusively on the basis of these General Terms and Conditions of business. Any terms and conditions of business deviating herefrom shall not be recognised, unless expressly consented to in writing. These General Terms and Conditions of Business shall apply even if services are rendered unconditionally despite Host Eurostream Ltd. knowing of terms and conditions of the customer that conflict with or deviate from these.

These General Terms and Conditions are provided in English for your convenience. Please note that in case of a dispute or discrepancy between the German Terms and Conditions and the English translation, the German version shall prevail.

§ 1 Subject-matter of the Contract

Host Eurostream Ltd. (hereinafter called "Provider") operates computers constantly connected to the Internet (servers). The Provider shall make these computers wholly (on a dedicated basis) or partly (on a virtually dedicated basis) available to the customer for its own purposes.

§ 2 The Provider's Services

  1. The Provider shall render services, itself or through third parties, as further detailed in the service specifications of the respective product. Other commitments, promises of services or collateral agreements shall be effective only if confirmed in writing by the Provider. Unless otherwise expressly agreed upon, the Provider may also appoint expert employees or third parties to render the services incumbent upon it.
  2. The Provider shall provide the customer with access enabling the customer to administer its server itself over the Internet. This access shall be protected by means of a password. This password shall not be known to the Provider. The customer undertakes to regularly alter, and keep strictly secret, the passwords received from the Provider for the purpose of accessing the Provider's services. The customer shall promptly inform the Provider as soon as it becomes aware that the password has become known to unauthorised third parties.

§ 3 Warranty

  1. The customer shall give the Provider prompt notification of defects and make every effort to support the Provider in the course of any possible rectification of defects, in particular by taking all reasonable data security measures.
  2. The Provider points out that, under the present state of the art in terms of technology, it is not possible to create hardware and software that functions faultlessly in all combinations of use or that can be protected against all manipulation by third parties. The Provider does not guarantee that hardware and software used or provided by the Provider shall satisfy the customer's requirements and be suitable for certain applications, or that this hardware and software shall be crash-proof, bug-free and free from malware. The Provider merely warrants in relation to the customer that the hardware and software used or provided by the Provider shall, at the time when it is made available, essentially function in accordance with the manufacturer's service specifications, provided that it is operated under normal operating conditions and is normally maintained.

§ 4 The Customer's Duties

  1. In respect of all data that the customer transfers to the Provider's servers, the customer shall make, itself or through third parties, daily updated back-up copies, which shall not be stored on the server itself, in order to ensure that the data can be restored quickly and at low cost in the event of any system failure. In the event of data loss, the customer shall, free of charge, once again upload the data stocks concerned onto the Provider's servers and restore configurations.
  2. The customer represents and warrants that the details provided by it are accurate and complete. It undertakes to promptly inform the Provider of every change of its contact details provided, and of every change of its other data required for the implementation of the contract.
  3. The customer shall not offer or distribute on the rented server without authorisation any copyright-protected content. In particular, it shall not be permissible to operate so-called P2P exchange markets, download services or streaming services via which any copyright-protected content can be distributed without authorisation. Moreover, the customer shall not make available any links that refer to P2P exchange markets, download services, streaming services or their content.
  4. The customer shall be prohibited from using the server for directly sending SPAM emails or (D)DOS attacks, and shall not operate on the server any open email relays or other systems via which SPAM emails or (D)DOS attacks can be distributed. Nor shall the customer be permitted to operate IRC-related services (Internet Relay Chat) such as for example Shells, Bouncer or Eggdrops.
  5. When organising its IT project, the customer shall forgo technologies that cause the Provider's facilities to be excessively used. Websites containing these technologies may be excluded by the Provided from third-party access until the customer has removed/deactivated these technologies. This shall not apply to servers available to the customer for the customer's sole use (dedicated hardware).
  6. Furthermore, the resources made available by the Provider shall not be used by the customer for any acts that violate statutory prohibitions, good morals or third-party rights (copyrights, trademark rights, name rights, data privacy rights etc.). In particular, this includes the following acts:
    1. unauthorised intrusion into third-party computer systems (e.g. hacking);
    2. obstruction of third-party computer systems by sending/forwarding data flows and/or emails (e.g. DoS/DDoS attacks/spam/email bombing);
    3. searching for open access to computer systems (e.g. port scanning);
    4. falsifying IP addresses, email headers or news headers, or spreading malware.
  7. The customer shall not be permitted to register its website on search engines, if and insofar as the customer violates statutory prohibitions, good morals or third-party rights by using keywords or similar techniques in its registration.
  8. DIf the customer breaches any of its above obligations, the Provider may, with immediate effect, discontinue its services or block access to the customer's information. The right to assert damage claims shall remain expressly reserved. In the event of serious or repeated breaches, the Provider shall be entitled to a special right of termination.

§ 5 Server Administration

  1. Unless otherwise agreed upon, the Provider shall grant the customer full and sole administration rights to the server rented. Only the customer, not the Provider, shall possess the customer's individual administration password to the server. Consequently, it shall be impossible for the Provider to administer the server rented by the customer. The customer shall, therefore, be exclusively and solely responsible, at its own expense and risk, for the administration and security of its server. It shall be the customer's duty to install necessary security software, keep itself constantly informed of vulnerabilities that become known and independently rectify these vulnerabilities. The installation of maintenance programmes or other software that the Provider makes available or recommends shall not release the customer from this obligation.
  2. The Provider shall provide the customer with technical support only to the extent agreed upon by contract. Beyond this, the Provider shall not grant the customer any free support services. The Provider shall not provide direct support for the customer's customers, unless otherwise agreed upon in writing.
  3. Insofar as permanent IP addresses are made available to the customer, the Provider shall have the right to alter the IP address(es) allocated to the customer, if this is necessary for technical or legal reasons.
  4. If necessary and reasonable, the customer shall co-operate with simple configuration changes, e.g. by re-entering its access details or making simple changes to its systems.
  5. The customer shall configure its programmes in such a way that they automatically re-start in the event that the hardware or the operating system is rebooted.
  6. The customer shall set up and administer its server in such a manner that the security, integrity and availability of the networks, other servers, software and data of third parties are not put at risk.

§ 6 Liability

  1. The Provider shall, regardless of the legal basis, be liable only in accordance with the following provisions.
  2. In cases of wrongful intent or gross negligence, the Provider shall be liable in accordance with the statutory provisions.
  3. In cases of slight negligence, the Provider shall be liable only in the event of a breach of a material contractual duty whose fulfilment is a prerequisite for proper implementation of the contract and whose observance may normally be expected by the customer (material contractual duty). In such cases, the Provider shall be liable only up to the sum of the foreseeable loss typical of this type of contract.
  4. In cases of slight negligence, liability for all other loss, in particular consequential loss, collateral loss or lost profit, shall be excluded.
  5. The above limitations shall not apply in cases of mortal injury, physical harm or health damage, or in cases of liability under the Produkthaftungsgesetz [Product Liability Act].
  6. Insofar as the Provider's liability is excluded or limited, this shall also apply to the liability of the Provider's workers, other employees, representatives and authorised agents.
  7. Insofar as the Telekommunikationsgesetz (TKG) [Telecommunication Act] is applicable, the provision on liability under Section 44a TKG shall, in any event, remain unaffected.

§ 7 Indemnification

  1. Internally, the customer shall indemnify the Provider against any and all third-party claims based on unlawful or illegal acts or substantive errors in the information made available by the customer. In particular, this shall apply to violations of the law on copyrights, trademarks, name rights, data privacy rights and competition, as well as in the event of breaches of Section 6 of this contract.

§ 8 Copyrights, Licence Agreements

  1. Insofar as the Provider undertakes software developments and customised configurations for the customer or on behalf of the customer for third parties, the Provider shall transfer to the customer a non-exclusive right to use the software created and the configurations concerned on the Internet for the duration of the contractual relationship.
  2. In respect of the Provider's own software made available, or third-party software made available, the Provider grants the customer a non-exclusive (ordinary) right of use limited, in terms of time, to the term of the contract. Except with the Provider's consent, this right of use shall not be transferable by way of contract transfer, and no sublicences shall be granted to third parties. Continued usage after the contract has ended shall not be permitted. After the contract has ended, the customer shall delete copies of software made available.
  3. The respective valid terms of licence of the software provider shall additionally apply to open source programmes. The Provider shall make these available to the customer on request. Insofar as the software provider's terms and conditions conflict with these Terms and Conditions, the software provider's terms and conditions shall take precedence.
  4. Moreover, the terms of licence of the respective software manufacturers as well as, if relevant, the Provider's manufacturer- or software-specific additional terms and conditions shall apply.
  5. Insofar as the customer itself administers or sets up or distributes licences on the servers, it shall be exclusively obliged to ensure correct licensing. The Provider shall be entitled to carry out audits in order to check that the customer's servers conform with the contractual agreements and provisions, in particular terms of licence. Within the framework of these audits, the Provider shall, in particular, be entitled to check whether the customer has procured a sufficient number of software licences. The customer shall co-operate with these audits.

§ 9 Applicable Law, Place of Jurisdiction

  1. EThe laws of the Federal Republic of Germany, excluding uniform UN sales law (CISG), shall apply.
  2. If the customer is a merchant, a legal entity under public law or a special fund under public law, Cologne shall be the exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship. Moreover, the Provider shall be entitled to bring an action against the customer at the customer's place of general jurisdiction.

This agreement represents the complete agreement and understanding between eurostream and the Customer and supersedes any other written or oral agreement. Upon notice published on its Website, eurostream may modify these terms and conditions, amplify them, and/or modify the prices, as well as discontinue or change services offered.

Under the terms of this agreement, your placement of information on eurostream's servers is an acknowledgement that you have read and understood this agreement, and that you agree to be bound by the terms and conditions contained herein.

§ 1 USER CONDUCT

eurostream's services may only be according to the law. Any use of these services, which violates any local, state, federal, or international laws, which may apply to eurostream, your local jurisdiction, or any jurisdiction that you or your site may be subject to is strictly prohibited.

While using the service, you may not:

  1. Restrict or inhibit any other user from using the Internet;
  2. Post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, offensive, indecent, profane, or otherwise objectionable information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any local, state, federal or international law, including without limitation the U.S. export control laws and regulations, and laws protecting intellectual property including copyright, trademark, trade secret, misappropriation and anti-dilution laws;
  3. Post, publish, transmit, reproduce or distribute any information or software which contains a virus or other harmful component; Post, publish, transmit, reproduce, distribute or in any way exploit any information, software, or other material obtained through the service for commercial purposes (other than as expressly permitted by the provider of such information, software, or other material)

§ 2 INDEMNIFICATION

You agree to indemnify, defend, and hold harmless eurostream from any and all liability, penalties, losses, damages, costs, expenses, attorneys' fees, causes of action or claims caused by or resulting indirectly from your use of the service which damages either you, eurostream, or any other party or parties without limitation or exception. This indemnification and hold harmless agreement extends to all issues associated with your account, including but not limited to domain name selection and Website content.

§ 3 REFUSAL OR DISCONTINUANCE OF SERVICE

eurostream reserves the right to refuse or discontinue service to anyone at eurostream's sole discretion. eurostream may deny you access to all or part of the service without notice if you engage in any conduct or activities that eurostream, in its sole discretion, believes violates any of the terms and conditions in this agreement. eurostream shall have no responsibility to notify any third-party providers of services, merchandise or information, nor any responsibility for any consequences resulting from such discontinuance or lack of notification.

§ 4 NO WARRANTIES

eurostream makes no warranties or representations of any kind for the services being offered. The service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of title, noninfringement, or implied warranties of merchantability or fitness for a particular purpose. No advice or information given by eurostream or its agents or employees shall create a warranty. eurostream provides no warranty that the service will be uninterrupted or error free or that any information, software or other material accessible on the service is free from viruses or other harmful components. Under no circumstances shall eurostream be liable for any direct, indirect, special, punitive, or consequential damages that result in any way from your use of or inability to use the service, or for third parties' use of the service to access your Webspace, or to access the Internet or any part thereof, or your or any third parties' reliance on or use of information, services, or merchandise provided on or through the service, or that result from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation or transmission, or any failure of performance. If you are dissatisfied with eurostream service or any of its terms, conditions, rules, policies, guidelines, or practices, your sole and exclusive remedy is to discontinue using the service.

You understand that by placing information on eurostream's servers that such information becomes available to all Internet users and that eurostream has no way of limiting or restricting access to such information or protecting such information from copyright infringement. You assume total responsibility and risk for your use of eurostream's servers and the Internet. It is solely your responsibility to evaluate the accuracy, completeness, and usefulness of all opinions, advice, services and other information, and the quality and merchantability of all merchandise provided through eurostream or on the Internet generally.

§ 5 ECPA NOTICE

You agree that eurostream is not considered a "secure communications medium" for the purposes of the ECPA, and that no expectation of privacy is afforded.

§ 6 IDENTIFICATION INFORMATION

You agree that you as the person legally responsible for use of this account are at least 18 years of age. You agree to supply eurostream with a current and truthful name, postal address and telephone number for our records, and you have a continued obligation to keep this information current. You also agree that you are an authorized user of any credit card that you supply to us and agree that we have an obligation to fully investigate any possible fraudulent credit card use.

§ 7 NO INTERFERENCE WITH OPERATION OF SYSTEM

You agree not to maliciously or intentionally interfere with the proper operation of the system, including but not limited to defeating identification procedures, obtaining access beyond that which you are authorized for, and impairing the availability, reliability, or quality of service for other customers. You further agree not to interfere with the proper operation of other systems reachable through the Internet, including any attempt at unauthorized access. You agree to follow the Acceptable Use Policy of any network or service you connect to.

You agree to adhere to system policies as published online by eurostream, including restrictions on services available with each account type, restrictions on certain features, and all other policies designed to protect and enhance the quality and reliability of service at eurostream. You agree to abide by any and all future eurostream policy decisions.

§ 8 SECURITY

You agree that the security of your account is solely your own responsibility. You further agree that if you believe the security of your account has been compromised in any way, you will notify eurostream immediately in writing by registered mail, with return receipt, to eurostream. You shall be held fully responsible for any misuse or compromise of your account for which eurostream is not properly notified. You agree not to provide or share access to your account to any third party, and that you are responsible for any use of your account by any party to whom such access has been provided. You agree that certain features of your account (e.g., FrontPage webs, additional FTP logins) which may be used to provide shared access to your account are not to be used to resell services to third parties, and that you are responsible for the actions of any party which utilizes those features. You agree that if any security violations are believed to have occurred in association with your account, eurostream has the right to suspend access to the account pending an investigation and resolution. You also agree that eurostream has the right to cooperate in any government or legal investigation regarding any aspect of our services, including services sold to you.

§ 9 BACKUP OF DATA

Your use of the service is at your sole risk. eurostream is not responsible for files and data residing on your account. You agree to take full responsibility for files and data transferred and to maintain all appropriate backups of files and data stored on eurostream servers.

§ 10 TRANSMITTAL OF MATERIALS

You agree not to transmit unsolicited or prohibited advertising or other harassing or illegal materials through electronic mail, Usenet postings, or other Internet media. The use of eurostream or any other service with reference to services obtained through eurostream, for unsolicited mass mailings, postings, or other activities considered an annoyance to others, commonly referred to as "spamming" is strictly prohibited and may cause your services to be terminated immediately and without warning, and you will be held fully responsible for any damages to you, eurostream, or any other party or parties resulting from any such conduct.

§ 11 PRIOR AGREEMENTS

This agreement supersedes any written, electronic, or oral communication you may have had with eurostream or any agent or representative thereof, and constitutes the complete and total agreement between the parties.

§ 12 SEVERABILITY

If any provision of this agreement is determined to be invalid or unenforceable, all other provisions shall remain in full force and effect and said provision shall be reformed only to the extent necessary to make it enforceable.

§ 13 APPLICABLE LAW, JURISDICTION, AND SERVICE

This agreement shall be governed by the applicable laws of Missouri and the United States of America. Customer agrees that all services provided by eurostream shall be deemed to have been requested and provided in the city of Saint Louis, Missouri. Customer further agrees that the Court of the city of Saint Louis, Missouri, shall have personal jurisdiction over Customer and exclusive subject matter jurisdiction over any and all controversies or claims arising from or relating to this agreement or the services provided by eurostream. Customer agrees to accept service of process related to this agreement by ordinary mail, postage prepaid, to the most recent address provided by Customer.

§ 15 ACKNOWLEDGEMENT

By placing and continuing to maintain or place information on eurostream's servers, you are stating and acknowledging that you have read the aforementioned terms and conditions and that you understand they.

§1 - Area of applicability

These general terms and conditions of business are part of all contracts between Eurostream managed Eurostream LTD, (hereinafter: Eurostream) with a contracting partner as defined in § 3 (hereinafter: Customer) in relation to services in the area of the subject matter of the contract referred to in § 2. The respective valid version at the time of conclusion of the contract shall be decisive. Deviating terms and conditions of the Customer shall not become part of the contract, unless Eurostream expressly agrees to their applicability in writing. Deviating provisions in the offer and service description, including any service level agreement (hereinafter referred to together as: service description) shall take priority over the clauses of these general terms and conditions of business.

§2 - Subject matter of the contract

Eurostream operates premises which are connected to the Internet (IT centre). In the IT centre, the Customer can set up its own Internet servers (co-location) or use servers, storage space or computing power provided by Eurostream (hosting). In addition, Eurostream offers additional services in connection with the operation and use of servers (services). In particular, the subject matter of the contract may be:

  1. Co-location: Eurostream provides storage space (rack or cage) for Customer´s own server hardware, as well as an electricity and Internet connection;
  2. Managed hosting: The Customer can use one of Eurostream’s pre-configured, dedicated or virtual servers;
  3. Server hosting: The Customer can use one of Eurostream’s dedicated or virtual servers, whereby the Customer is fully responsible for the configuration (root server);
  4. Cloud hosting: The Customer can use Eurostream’s pre-configured software as a service (SaaS) and infrastructure as a service (IaaS) products;
  5. Internet domains: The Customer can have Internet domains registered at the respective registry via Eurostream.
  6. SSL certificates: The Customer can order certificates for encrypted data transfer via Eurostream.

The specifics concerning the scope of service are stated in the respective service description.

§3 - Contracting Partner

Eurostream concludes contracts both with private and commercial customers. Commercial customers include legal persons under public law, public law special funds and entrepreneurs. An entrepreneur is a natural or legal person or a partnership with legal capacity which is acting in the performance of its commercial or independent professional activities at the time of conclusion of a legal transaction. By contrast, a private customer as defined in these general terms and conditions of business is any person who is not a commercial customer. Therefore private customers also include consumers. A consumer is any natural person who concludes a legal transaction for purposes which cannot primarily be attributed to the consumer’s commercial or independent professional activities. Eurostream only concludes co-location contracts with commercial customers.

§4 - Conclusion of the contract

  1. The representation and promotion of services by Eurostream does not, as a rule, yet represent a binding offer to conclude a contract. Rather by means of its order, the Customer is submitting a binding offer to Eurostream to conclude a contract (contractual offer). The order is placed either in electronic or paper form.
    1. In electronic form, the order is placed via the Eurostream website by clicking the button labelled either “Submit Binding Order” or corresponding clear formulation. Before clicking this button, the Customer can end the order process at any time. The Customer can see any entry errors on the associated overview page, can return to the respective order stage by clicking the back button in its web browser and correct the error there. Eurostream does not save the contractual text as such (and therefore does not make the contractual text accessible to the Customer after conclusion of the contract). However the Customer can save the contractual text or print it out by using the corresponding function of its browser on the overview page; the same applies to these general terms and conditions of business and the respective service description.
    2. In paper form, the order takes place by means of the Customer sending the completed and signed order form to Eurostream. The corresponding form and the associated service description can be accessed by the Customer via the Eurostream website or the Customer can request these from Eurostream. A contract form can be used instead of an order form.
  2. Eurostream will confirm receipt of the order to the Customer by email (confirmation of receipt). As a rule, the confirmation of receipt does not yet represent a binding acceptance of the contractual offer by Eurostream. Rather, the acceptance of the offer takes place either by means of a separate notification by Eurostream (contractual confirmation) or by means of Eurostream recognisably commencing the provision of services to the Customer. In addition, the sending of an invoice or other payment request by Eurostream shall represent an acceptance of the offer. The sending of an invoice or payment request can take place at the same time as the confirmation of receipt. In such a case, the confirmation of receipt is also the contractual confirmation.
  3. The contractual language is German.

§5 - Right of revocation

As a rule, a customer who is a consumer (see § 3) has a statutory right of revocation. A customer who is not a consumer is not entitled to this right of revocation. Eurostream shall inform the Customer separately of the right of revocation. However such a notification of a right of revocation does not represent a contractual right of revocation in relation to a customer who is not a consumer.

§6 - Prices and payment

  1. All price statements by Eurostream in relation to private customers (see § 3), in particular those on the Eurostream website, shall be considered to be end prices inclusive of the statutory value added tax, should this be payable. By contrast, price statements by Eurostream which are obviously intended for commercial customers (see § 3) are net in case of doubt, i.e. excluding value added tax; therefore value added tax will be added to the stated prices, should this be payable (gross). Additional costs, i.e. those which are not stated in the order overview or the order/contract form, shall not as a rule be incurred in connection with the order.
  2. In case of doubt, the payment of one-off fees shall be made at the time of conclusion of the contract. The payment of recurring fees is due monthly in advance. Invoicing shall take place via email to the address stated by the Customer. A fee of EUR 3.50 per invoice shall be payable if invoices are sent by post, which Eurostream only carries out upon request by the Customer. Invoicing is not necessary for the Customer to enter default. This does not apply in relation to the value added tax to be charged in the invoice if the Customer is entitled to deduct input tax. If the Customer enters payment default, Eurostream shall be entitled, in accordance with the statutory regulations, to withhold the further provision of services. In particular, this means that Eurostream can shut down the Customer’s Internet pages, cease to make the data stored on the servers available and no longer renew domains. Further rights of Eurostream shall remain unaffected.
  3. Objections which concern use-dependent fees in the invoices (for example for traffic) must be raised by the Customer within an exclusion period of six weeks following the receipt of the respective invoice. Otherwise, the invoicing of the said fees shall be deemed to have been approved by the Customer. This shall not apply, if Eurostream acts fraudulently during the invoicing process or has not informed the Customer of the exclusion period once again in the invoice.
  4. Unless otherwise agreed, the payment shall be made cash free via SEPA transfer to the business account of Eurostream. If the payment is made by direct debit or credit card, the Customer must ensure there are sufficient funds in the relevant account. If it is not possible to collect a direct debit or to charge the credit card (return of payment), the Customer is obliged to pay fixed compensation of EUR 10. This shall not apply if the Customer is not responsible for the return of payment. Otherwise, the Customer is free to provide proof that no loss was incurred by Eurostream or that the loss is significantly lower than the fixed amount. Conversely, Eurostream is entitled to provide proof of a higher loss.

§7 - Contractual term and termination

  1. The term of the contract shall correspond to the period of time which is stated in the service description and/or the period of time which the Customer selected at the time of its order (minimum term). In the case of contracts in relation to a domain, the minimum term is generally one year. If the contract is not terminated or is not terminated in line with the notice period, it shall be extended each time by the minimum term, however for no more than one year (automatic contract extension). Unless otherwise agreed, the notice period for contracts with a minimum term of up to one year shall be 4 weeks and for contracts with a minimum term of one year or more, the notice period shall be 3 months.
  2. As a rule, termination is required in text form (e.g. letter, fax, email). However, if the Customer is a commercial customer (see § 3), termination is required in written form (i.e. as text form but including a signature), whereby transfer of the signed declaration by telecommunication shall suffice.
  3. The right to terminate this contract prematurely for cause shall remain unaffected. In particular, cause exists for Eurostream if the Customer is in default for an amount of one monthly payment for more than 4 weeks or in default for a lesser sum for more than 6 weeks. Cause for premature termination also exists for Eurostream if the Customer significantly or repeatedly breaches other obligations under the contract, in particular following a warning by Eurostream.
  4. The Customer is aware that the expenses and costs for the provision of storage space, servers or parts thereof will be included in the fee and minimum term. The Customer is also aware that the expenses and costs of Eurostream in the case of domains are almost exclusively incurred due to their registration and extension. If a contract whose minimum term has not yet been reached is terminated prematurely for cause by Eurostream, the Customer must pay 50% of the fee which would have been payable until the time the minimum term was reached. If this involves the fee for a domain, the full amount up to the actual end of the term is due, regardless of whether the minimum term of the contract has already been reached. This shall not apply if the Customer is not responsible for the cause for which Eurostream terminates the contract prematurely. Otherwise, the Customer is free to provide proof that no loss has been incurred by Eurostream or that the loss is significantly lower than the calculated amount. Conversely, Eurostream is entitled to provide proof of a higher loss. Further rights of Eurostream shall remain unaffected.
  5. At the end of the contract, Eurostream will block the Customer’s login data and suspend the contractual services. This means that web pages, emails and other data which the Customer has saved on the Eurostream servers will be deleted. The Customer’s Internet domains will no longer be extended. This means that they will expire and will be deleted or returned to the competent registration body. The Customer is aware that the respective domain may be permanently lost if a third party registers this following the deletion or return.
  6. However, prior to the end of the contract, the Customer has the option of transferring its domains to another provider (transfer). If a domain is transferred to another provider, the Customer shall apply to Eurostream for this in good time in text form, i.e. at the latest two weeks prior to the end of the contract. The Customer is aware that the co-operation of the Customer and/or the other provider is necessary for the transfer of a domain, depending on the requirements of the respective registration body. If this co-operation does not take place or does not take place in good time, with the result that the domain remains with Eurostream beyond the end of the term, the domain will be charged to the Customer for a further year. This shall not apply if the Customer is not responsible for the lack of timely co-operation. Otherwise, the Customer is free to provide proof than no loss has been incurred by Eurostream or that the loss is significantly lower than the calculated amount. Conversely, Eurostream is entitled to provide proof of a higher loss. Further rights of Eurostream shall remain unaffected.

§8 - Rights and obligations

  1. Login data (such as user name and password) which the Customer receives from Eurostream shall be kept confidential by the Customer and shall be protected against third party access. The Customer shall be responsible for all actions carried out under the said login data. This shall not apply if the respective action was carried out by an unauthorised third party without the Customer being responsible for such, in particular where the Customer has complied with its confidentiality and protection obligation in a proper manner.
  2. Prior to saving all data which it stores on the Eurostream servers, the Customer shall make a back-up copy. Data which is altered on the Eurostream servers or which is initially created there shall also be backed up by the Customer at regular intervals. The backups themselves may not be stored on the Eurostream servers.
  3. In the case of a co-location contract where the Customer sets up its own hardware in the Eurostream IT centre, the Customer shall issue Eurostream with a contractual right of lien in relation to the hardware which has been set up. The purpose of the lien is to secure the claims of Eurostream against the Customer under the contract. The Customer is aware that the hardware which has been set up is not insured by Eurostream. To this extent, the Customer is responsible for taking out any insurance. In all cases, the Customer shall take out liability insurance which covers personal injury, property damage and financial losses caused by the Customer or its hardware in the Eurostream IT centre with a sum insured of at least EUR 1 million (one million euros). On Eurostream’s request, the Customer shall provide proof of the existence of the said insurance. The Customer is solely responsible for the maintenance of its hardware.
  4. Except in the case of co-location, Eurostream is entitled to carry out changes to the server configuration, if these become necessary from a technological or legal point of view or are otherwise required due to technological progress. However, such an alteration shall not limit the contractual scope of service. Eurostream shall inform the Customer in good time of pending alterations, if these have noticeable effects on the Customer. The Customer is obliged to carry out alterations on its part which become necessary, provided that this is reasonable.
  5. The Customer is only able to have physical access to the servers in the Eurostream computer centre in the case of co-location. Access is limited to the Customer’s hardware, whereby the Customer shall agree on a date and time with Eurostream in advance. At the time of agreeing on the date and time, the persons who are to have access to the hardware for the Customer must be named. The persons must be able to verify their identity by means of official photo ID.
  6. In the case of co-location and server hosting, the Customer is solely responsible for the installation and configuration of the operating system, the server services and other software. In the case of managed hosting, the Customer will be provided with a system which has been pre-configured by Eurostream. However, the Customer is also solely responsible for the installation and configuration of additional services and other software.
  7. Eurostream shall provide the Customer with licences for Microsoft software, in particular for Windows Server, by means of a framework agreement with Microsoft for multiple licences (volume licence contract), if the Customer uses Eurostream hosting services and the provision of such software for use on the server has been agreed upon. The Customer hereby assures Eurostream that it will comply with the licence conditions for the use of the software. In particular, this includes the Customer only purchasing licences for the use of Microsoft software on the server via the Eurostream volume licence contract. The Customer shall not use any unlicensed software or software which has not been properly licensed on the server. If the Customer breaches the licence conditions, it must reimburse Eurostream in respect of the losses incurred as a result. Eurostream is entitled to monitor compliance by the Customer with the Microsoft licence terms. For this purpose, the Customer shall provide Eurostream with access to an administrative server which Eurostream will use exclusively for the said monitoring. To this extent, Eurostream is entitled in particular to permanently and automatically monitor the licence information concerning Microsoft software on the server by means of corresponding client software. If the Customer refuses to provide access or if the Customer disrupts the monitoring by the client software, this shall represent cause for premature termination by Eurostream.

§9 - Legal breaches

  1. The Customer is aware that Eurostream will not monitor the use of the server by the Customer, in particular the contents published by the Customer. Eurostream will also not check prior to the registration of a domain ordered by the Customer as to whether the said domain affects third party rights. To this extent, the Customer shall reimburse Eurostream for all third party claims which arise due to unlawful use of the server or use of the server which is in breach of contract by the Customer or of a domain ordered by the Customer. The Customer shall reimburse Eurostream to the necessary extent in relation to the costs incurred in connection with the defence of the rights.
  2. The Customer shall not publish any unlawful content or otherwise use the server in an illegal manner. The publication of content which is racist, glorifies violence or contains adult content shall also be deemed to be unlawful. In the case of an obvious or proven legal breach, Eurostream is entitled to prohibit the use of the unlawful server by the Customer (blocking) or to disable the unlawful domain and return it to the registration body, if necessary. If the legal breach is not obvious or proven, Eurostream shall ask the Customer to make an immediate statement. If this statement is not made or if the Customer is not able to rebut the alleged legal breach, Eurostream is entitled to the same rights as in the case of an obvious or proven legal breach.
  3. The sending of promotional emails without the express consent of the respective recipient (spam) is prohibited. The automated or mass sending of promotional messages in Internet forums or chatrooms is also deemed to be prohibited spam. For each case of a culpable breach of the prohibition of spam, the Customer must pay a contractual penalty to Eurostream, the amount of which will be determined at the reasonable discretion of Eurostream, whereby the setting of the contractual penalty can be verified by a court. Eurostream is also entitled to carry out a blocking.
  4. If the server used by the Customer noticeably impair the functionality, security or availability of Eurostream’s infrastructure or significantly endanger it, Eurostream shall also be able to carry out a blocking for the duration of the impairment or endangerment.
  5. Where possible, Eurostream shall warn the Customer in advance of a blocking; otherwise it shall inform the Customer of the blocking in a timely manner. No warning is necessary if the Customer has intentionally caused the reason for the blocking. If the Customer provides a remedy, Eurostream will not carry out the blocking or will lift it. In relation to the expenses in connection with a blocking, Eurostream will charge the Customer a fixed fee of EUR 49.00. This shall not apply if the Customer is not responsible for the reason for the blocking. Otherwise, the Customer is free to provide proof than no loss has been incurred by Eurostream or that the loss is significantly lower than the fixed amount. Conversely, Eurostream is entitled to provide proof of a higher loss. Further rights of Eurostream shall remain unaffected.

§10 - Warranty

  1. Eurostream hereby guarantees to the Customer an average annual availability of 99.0%. The router which connects the Eurostream computer centre to the Internet shall be decisive in relation to availability (time of handover). Both disruptions to the Internet and such downtime for which Eurostream is not responsible (for example force majeure) are excluded from the guarantee concerning availability. In addition, Eurostream is entitled to use 1% of the availability each month for maintenance work, without this being deemed to represent a reduction of availability. Such maintenance work shall be notified to the Customer in advance where possible and carried out at night between 10 p.m. and 6 a.m.
  2. The Customer is aware that Eurostream will only forward the data concerning the registration of a domain to the competent registration body following a request by the Customer. The forwarding shall take place by means of an automated process, whereby the question as to whether the domain is finally assigned to the Customer or not is outside Eurostream’s sphere of influence. To this extent, Eurostream cannot provide any guarantee concerning the allocation of an ordered domain. The same shall apply to the existence of a domain, unless Eurostream is responsible for this.
  3. Otherwise, the statutory provisions shall apply. The limitation of liability in accordance with § 11 shall also apply to the obligation to pay damages due to defects.

§11 - Limitation of liability

  1. Eurostream shall incur unlimited liability in the case of intent and gross negligence, for injury to life, body and health, in accordance with the regulations of the German Product Liability Act (Produkthaftungsgesetz ? ProdHG), in accordance with Section 44a of the German Telecommunications Act (Telekommunikationsgesetz ? TKG), as well as to the extent of any assurances made or any guarantees assumed by Eurostream.
  2. In the case of a breach of an essential contractual obligation due to simple negligence, Eurostream’s liability shall be limited to losses which are foreseeable and typical in accordance with the type of transaction in question. Essential contractual obligations are those which enable the proper fulfilment of the contract and on whose compliance the Customer may regularly rely.
  3. Otherwise Eurostream’s liability to pay compensation shall be excluded, regardless of legal reason. There is no strict liability to pay damages for initial defects. This shall also apply to the personal liability of Eurostream’s legal representatives, employees and vicarious agents.

§12 - Data protection

  1. Eurostream complies with the statutory regulations concerning data protection. Eurostream only collects, processes and uses the Customer’s personal data in order to perform the contract. This concerns such personal data which the Customer provides to Eurostream during the order, via the customer centre or otherwise within the performance of the contract (in particular: name, address and email address). Alongside collection, processing and use, Eurostream is entitled to pass on the Customer’s personal data to third parties if this is necessary in order to perform the contract (for example to the bank for payment processing).
  2. The Customer can ask Eurostream at any time to disclose, correct, delete or block its personal data. However deletion cannot take place if the Customer’s personal data is still required in order to perform the contract or if statutory retention obligations prevent this. However where possible, the data will be blocked prior to deletion. Following the full performance of the contract and provided that statutory retention obligations no longer prevent this, Eurostream will also delete the Customer’s personal data.
  3. Further use of the Customer’s personal data will only be made if the Customer has provided its express consent to such use. Reference is also hereby made to the data protection declaration in relation to the processing of personal data when using the Eurostream website. This can be accessed via the website.

§13 - Closing provisions

  1. Even if individual clauses are legally invalid, the contract shall otherwise remain binding in relation to its other provisions. Where available, the statutory regulations shall take the place of the invalid clauses. However, if this would present undue hardship for one of the contracting parties, the contract as a whole shall become invalid.
  2. If the Customer is a businessman, legal person under public law or a public law special fund, Düsseldorf is hereby agreed as the exclusive place of jurisdiction for all claims which arise under or on the basis of the contract. The same shall apply in relation to persons who do not have a general place of jurisdiction in Germany, who relocate their place of residence or usual whereabouts to a country outside of Germany following the conclusion of the contract or whose place of residence or usual whereabouts are not known at the time proceedings are brought.
  3. The law of the Federal Republic of Germany shall apply, to the exclusion of the United Nations Convention governing the International Sale of Goods. If the Customer is a natural person and if the Customer concludes the contract for purposes which cannot primarily be attributed to his or her commercial, business, craft or professional activities, the mandatory consumer protection provisions of the country in which the Customer is usually resident shall, nevertheless, remain applicable.
  4. The Customer can only offset against Eurostream such claims to which it is entitled under the same contractual relationship or which are not disputed by Eurostream or which have been recognised by a court. The Customer can only assert a right of retention if the counterclaims are from the same contractual relationship.
  5. Eurostream is entitled to have the contractual services provided by third parties.

  • передача данных, в случаях, указанных в законодательстве,
  • удаление или ограничение обработки персональных данных.

6. Заказывая и оплачивая услуги, оказываемые «Eurostream» UAB , вы даете свое согласие на использование своих персональных данных в том числе в маркетинговых целях. Согласие, предоставленное для обработки персональных данных в маркетинговых целях, может быть отозвано в любое время.

7. Для того, чтобы несовершеннолетнее лицо до 16 (шестнадцати) лет могло пользоваться услугами «Eurostream» UAB, оно обязано предъявить письменное согласие своего представителя (отца, матери, опекуна) на обработку персональных данных.

8. При условии соблюдения всех гарантий безопасности данных, ваши данные могут быть переданы - в дополнение к лицам, уполномоченным Контролером- другим субъектам, включая организации, обрабатывающие их от нашего имени, в том числе, но не ограничиваясь, поставщикам технических услуг, юридическим лицам, предоставляющим нам бухгалтерские, консультационные и иные услуги. Ваши данные также могут быть переданы странам за пределами Европейской экономической зоны (в страны, не являющиеся Европейским союзом и Исландией, Норвегией и Лихтенштейном) при условии соблюдения условий, изложенных в законодательстве.
